Terms and Conditions for working with Knack:
By purchasing a Knack Digital Marketing membership subscription, you agree to the following terms and conditions in full. Please read carefully before completing your purchase.
1. Services
Knack Digital Marketing agrees to provide social media strategy, content planning, and related digital marketing services as outlined in the membership tier selected at the time of purchase. The scope of services is limited to what is described in your selected plan. Any services outside that scope require a separate written agreement.
2. No Guarantee of Results
Social media and digital marketing results are influenced by factors outside of Knack Digital Marketing's control, including but not limited to platform algorithm changes, market conditions, audience behavior, and the accuracy of information provided by the client. Knack Digital Marketing makes no guarantee of specific results including follower growth, engagement rates, leads, sales, or revenue. All strategies and recommendations are provided in good faith based on over 50 years of combined professional experience.
3. Limitation of Liability
To the fullest extent permitted by applicable law, Knack Digital Marketing, its owners, employees, contractors, and representatives shall not be liable to the client or any third party for any direct, indirect, incidental, consequential, or special damages of any kind arising from or related to the services provided under this membership. This includes but is not limited to lost profits, lost revenue, loss of data, or any other financial or business loss, even if Knack Digital Marketing has been advised of the possibility of such damages.
By purchasing a membership, you agree to waive any and all claims against Knack Digital Marketing, its owners, employees, and contractors arising from the performance or non-performance of services under this agreement.
4. Client Indemnification
The client agrees to indemnify, defend, and hold harmless Knack Digital Marketing, its owners, employees, and contractors from and against any and all claims, liabilities, damages, costs, and expenses, including reasonable attorney fees, arising out of or related to any content approved and published by the client, any claim brought by a third party in connection with the client's social media presence or marketing activities, or any misrepresentation made by the client in connection with the services provided.
Knack Digital Marketing is not responsible for claims brought against the client by customers, competitors, platforms, or any other third party as a result of content strategies, captions, campaigns, or recommendations provided under this membership.
5. Intellectual Property and Portfolio Use
All strategies, content frameworks, captions, and creative concepts developed by Knack Digital Marketing remain the intellectual property of Knack Digital Marketing until full payment has been received for the applicable membership period.
By purchasing a membership, the client grants Knack Digital Marketing the right to reference the client as a current or former client, and to use anonymized or credited examples of work produced for the client in Knack Digital Marketing's own marketing materials, portfolio, social media, website, case studies, and promotional content. This includes but is not limited to strategy frameworks, results data, content examples, and client testimonials. Knack Digital Marketing will not share confidential business information without prior written consent from the client.
6. Payment and Cancellation
Membership subscriptions are billed on a recurring basis. Cancellation requests must be submitted in writing at least 7 days before the next billing date to avoid being charged for the following period. No refunds will be issued for partial membership periods.
7. Governing Law and Dispute Resolution
This agreement shall be governed by the laws of the State of Colorado. Any disputes arising under this agreement shall first be subject to good faith mediation between both parties before pursuing any other legal remedy. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with applicable rules.
8. Entire Agreement
These terms constitute the entire agreement between Knack Digital Marketing and the client with respect to the membership subscription and supersede any prior discussions, representations, or agreements. Knack Digital Marketing reserves the right to update these terms at any time, with notice provided to active members.
